These terms apply to individually agreed services in web development, software development, AI and automation, hosting and DevOps, as well as consulting, IT training and seminars. They become part of a contract only if they are made available before the contract is concluded and are validly incorporated into it. Individual agreements take precedence. Mandatory statutory consumer rights remain unaffected.
2. Offer and Conclusion of Contract
The website describes service areas and is not an automated booking system. An enquiry is not yet an order. The scope of services, remuneration, dates and responsibilities are determined by the respective offer and agreement. A contract is formed upon acceptance of a binding offer or a corresponding order confirmation.
3. Scope of Services and Cooperation
At the outset, objectives, requirements, technical prerequisites and, where applicable, verifiable acceptance criteria are agreed. The customer provides the agreed information, access, content and necessary approvals in good time and must be entitled to use the materials provided.
Extensions or changes, including their effects on effort, remuneration and dates, are agreed before implementation. Additional services are not charged solely on the basis of a unilateral change to these terms.
4. Prices and Payment
The agreed prices and payment terms apply. Offers to consumers state the total price payable, including applicable taxes and mandatory costs. Offers to businesses expressly state whether prices are net prices. Tax treatment is governed by the provisions actually applicable; no blanket reverse-charge treatment is promised.
For time-based remuneration, work performed and the agreed billing interval are documented transparently. Payment deadlines, instalments, recurring charges and third-party costs must be set out in the offer. Statutory rights of set-off and retention remain unaffected.
In addition to individually agreed fixed-price offers, limited allocations of hours may be agreed at discounted prices: 10 hours for smaller projects and 100 hours for larger projects. The specific price, discount, scope of services and conditions of the allocation are set out in the respective offer. A discount applies only to the expressly agreed allocation, not automatically to services beyond it.
If time-based remuneration with this billing interval has been agreed, working times are divided into 15-minute intervals in invoice documents. For the contractor's benefit, every 15-minute interval touched by the respective working time is counted in full. The applicable intervals run from :00 to :15, :15 to :30, :30 to :45 and :45 to :00. For example, 13 minutes of work from 14:02 to 14:15 are billed as 15 minutes of work. This interval billing does not apply in addition to fixed-price remuneration agreed for the same service.
5. Dates, Acceptance and Defects
Binding dates are expressly agreed. Dependencies on customer cooperation, third parties or changes are communicated at an early stage. These terms alone do not grant a general right to postpone dates.
Where a work product is owed, acceptance is governed by the agreement and statutory provisions. In consulting and training, the agreed services are provided; no particular commercial outcome or examination result is guaranteed. These terms do not limit statutory rights in respect of defects.
6. Software, Content and Usage Rights
The scope, timing and type of usage rights, delivery of source code and documentation are agreed in the offer. Rights in pre-existing components and materials remain with their respective rights holders. Open-source and third-party components are subject to their respective licence terms. The customer does not receive any rights that the provider is not itself entitled to grant.
7. Hosting, Domains and Security
Hosting, domain management, maintenance, backups, restoration and response times are included only insofar as expressly agreed. Resources, term, notice periods and responsibilities are set out in the respective service specification; automatic renewals or additional charges are not assumed as a general rule.
Successful domain allocation or uninterrupted availability is not promised without a corresponding agreement. Content and use must be lawful and must not endanger systems. Necessary protective measures are taken proportionately and explained where possible. Domain transfer and data handover at the end of the contract are agreed.
Before changes to production systems, backups, the ability to restore them and responsibility for these are clarified. The customer's data backup obligations do not create a blanket exclusion of the provider's liability.
8. IT Training and Seminars
Content, learning objectives, participation requirements, format, date, duration and price are described before booking. Live online training requires the technical prerequisites communicated for the training in question. Recordings are not made automatically and are agreed separately.
Rescheduling, cancellation and, where applicable, minimum participant numbers are dealt with only under expressly agreed conditions. These terms do not establish blanket cancellation fees or automatic replacement dates. Statutory claims and any existing right of withdrawal remain unaffected.
9. Right of Withdrawal for Consumers
Consumers may have a statutory right of withdrawal for distance contracts or contracts concluded off-premises. For the live IT training and seminars envisaged, the separate withdrawal notice with model form must be observed and provided on a durable medium before the contract is concluded. Commencement during the withdrawal period requires the declarations prescribed by law; agreeing to these terms does not replace them.
10. Confidentiality and Data Protection
Confidential project information is used only to the extent necessary for the agreed service. Where personal data is processed on behalf of a customer, an appropriate data processing agreement and agreement on technical and organisational measures are required before processing begins. The privacy policy explains processing on the website and does not replace such an agreement.
11. Liability and Termination of Contract
Statutory liability rules apply. In particular, liability for intentional misconduct and gross negligence, harm to life, body or health, and mandatory statutory liability is not excluded. No blanket exclusion for data loss or infringements of intellectual property rights is agreed.
The term of the contract and ordinary termination are governed by the contract and statutory provisions. The right to terminate for good cause remains unaffected. No formal requirements stricter than those permitted by law are imposed on consumers.
12. Final Provisions
German law applies. For consumers, mandatory protective provisions of the country of their habitual residence continue to apply where the statutory conditions are met. No exclusive agreement on jurisdiction is made in relation to consumers. Individual agreements continue to take precedence even if they were not made in writing. Statutory rules apply to invalid clauses.
